These Terms & Conditions (the “Terms”) govern your access to and use of the Akashi website, application, programmatic interfaces, Telegram bot, and related services (collectively, the “Interface”). The Interface provides a stablecoin platform for discovering, depositing into, and monitoring stablecoin yield opportunities on the Solana blockchain, including automated and AI-agent workflows. By accessing or using the Interface, you agree to be bound by these Terms. If you do not agree, do not use the Interface.
1. Acceptance of the Terms
By accessing or using the Interface in any way, you confirm that you have read, understood, and agree to be bound by these Terms and any documents incorporated by reference, including our Privacy Policy. These Terms form a legally binding agreement between you and Akashi (“Akashi,” “we,” “us,” or “our”). If you use the Interface on behalf of an entity, you represent that you are authorized to bind that entity.
2. Eligibility
To use the Interface, you represent and warrant that you: (a) are at least the age of majority in your jurisdiction and have full legal capacity to enter into these Terms; (b) are not located in, ordinarily resident in, or a citizen of any jurisdiction subject to comprehensive sanctions, including Cuba, Iran, North Korea, Syria, Russia, and the Crimea, Donetsk, and Luhansk regions of Ukraine (the “Prohibited Jurisdictions”); (c) are not identified on any sanctions or restricted-party list maintained by any government, including the U.S. Office of Foreign Assets Control (OFAC); and (d) will not use the Interface to circumvent any of these restrictions, including through a VPN or other location-masking technology.
3. The Interface and Services
The Interface is a purely non-custodial software interface. It helps you discover stablecoin yield opportunities, aggregates data, and constructs unsigned transaction instructions for you to review. We never take custody of your assets, never hold your private keys, and never sign or submit transactions on your behalf.
The Interface may offer automated and AI-agent workflows (including via our Telegram bot) that prepare or recommend transactions based on instructions you provide. Any such agent or automation only prepares unsigned instructions; it does not hold keys and cannot sign or move your assets. You remain solely responsible for reviewing, authorizing, signing, and submitting every transaction with your own self-custodial wallet, and for the consequences of any instruction you give to an automated workflow.
4. Your wallet and security
You are solely responsible for the security of your wallet, seed phrase, private keys, and any credentials or devices you use to access the Interface. We do not have the ability to recover, reset, freeze, or reverse access to your wallet or assets. Any loss arising from unauthorized access to your wallet, lost keys, or your own error is your sole responsibility.
5. No advice; no fiduciary relationship
Nothing on or provided through the Interface — including displayed APYs, yields, risk indicators, analytics, or any output from an automated or AI-agent workflow — constitutes investment, financial, legal, tax, or other professional advice, a recommendation, or a solicitation to buy, sell, or hold any asset. We are not your broker, intermediary, agent, or advisor, and no fiduciary relationship is created. All information is provided for general informational purposes only, may be inaccurate or delayed, and should not be relied upon. You are solely responsible for your decisions and should consult qualified professionals.
6. Third-party protocols and services
The Interface aggregates and routes to independent third-party decentralized protocols, including but not limited to Kamino, Drift, Jupiter, Exponent, Save, and Loopscale (the “Protocols”), and relies on third-party infrastructure such as RPC and data providers. We do not own, operate, control, audit, or endorse any Protocol or third-party service. When you interact with a Protocol, you do so directly with its smart contracts and are subject to its terms and risks. We are not responsible for the performance, solvency, security, availability, or conduct of any Protocol or third-party service.
7. Assumption of risk
Using stablecoins and DeFi protocols involves significant risk, including the total loss of your assets. By using the Interface, you acknowledge and accept these risks, including without limitation:
- Smart-contract bugs, exploits, and economic attacks;
- Oracle failures and price-feed manipulation;
- Liquidation of leveraged or borrowed positions, including total loss of collateral;
- Stablecoin de-pegging, loss of backing, or issuer failure;
- Market, liquidity, and slippage risk;
- Regulatory and legal uncertainty, which may change rapidly;
- Network congestion, dropped or failed transactions, and chain reorganizations;
- Errors in automated or AI-agent workflows, including instructions that do not match your intent;
- Variable yields, which are not guaranteed and may turn negative.
Past performance does not indicate future results. You assume all such risks.
8. Prohibited use
You agree not to use the Interface to:
- Violate any applicable law, regulation, or sanctions regime;
- Engage in money laundering, terrorist financing, fraud, or market manipulation;
- Circumvent eligibility restrictions or these Terms;
- Introduce malware, attack, overload, reverse-engineer, scrape, or interfere with the Interface or its infrastructure;
- Infringe the rights of any third party or misappropriate any intellectual property.
9. Representations and warranties
You represent and warrant that you have independently evaluated, and assume full responsibility for, every transaction and any digital asset you interact with through the Interface, and that your use of the Interface will not breach any law or any agreement to which you are a party.
10. Intellectual property and limited license
The Interface and all related content, trademarks, and software (excluding third-party and open-source components and on-chain Protocols) are owned by Akashi or its licensors. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access and use the Interface for its intended purpose. All rights not expressly granted are reserved. You may not copy, modify, distribute, sell, or create derivative works from the Interface except as permitted by applicable law.
11. Disclaimers
The Interface is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Interface will be uninterrupted, secure, error-free, or that any information it displays (including that sourced from Protocols or third parties) is accurate, complete, or current.
12. Limitation of liability
To the maximum extent permitted by law, Akashi and its contributors, affiliates, and service providers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or any loss of profits, assets, data, or goodwill, arising out of or relating to your use of (or inability to use) the Interface, any Protocol, or any automated or AI-agent workflow, even if advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13. Indemnification
You agree to indemnify, defend, and hold harmless Akashi and its contributors, affiliates, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Interface, your violation of these Terms, your violation of any law or third-party right, or any instruction you provide to an automated or AI-agent workflow.
14. Modifications to the Terms and the Interface
We may modify the Interface or these Terms at any time. Changes to the Terms are effective when posted, and we will update the “Last updated” date above. Your continued use of the Interface after changes take effect constitutes acceptance of the revised Terms. We may also add, change, suspend, or discontinue any part of the Interface at any time without notice.
15. Suspension and termination
We may suspend, restrict, or terminate your access to the Interface at any time, for any reason, including suspected violation of these Terms or applicable law, without notice or liability. You may stop using the Interface at any time. Provisions that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will survive.
16. Miscellaneous
If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent; we may assign them freely. These Terms constitute the entire agreement between you and us regarding the Interface. We are not liable for any delay or failure to perform caused by events beyond our reasonable control (force majeure).
